These Terms of Use (“Agreement”) govern your access to and use of the “Aerea Home” mobile application, Aerea Ops Portal, digital access-control systems, visitor management systems, websites, software platforms and all related products and services (collectively, the “Services”) provided by AEREA Pte Ltd (“AEREA”, “we”, “us” or “our”).
This Agreement constitutes a legally binding agreement between you (“User”, “you” or “your”) and AEREA.
By accessing or using the Services, you acknowledge that you have read, understood and agreed to be bound by this Agreement and our Privacy Policy.
If you do not agree to these terms, you must discontinue access to and use of the Services.
1. Eligibility & Authority
By using the Services, you represent and warrant that:
- you are at least 18 years of age or are using the Services under appropriate supervision and authorization;
- you have the legal capacity to enter into this Agreement; and
- where acting on behalf of an organisation, MCST, managing agent, developer or other legal entity, you are duly authorised to bind such entity to this Agreement.
2. Accounts & User Responsibilities
Users may be required to create an account to access certain features of the Services.
You are responsible for:
- maintaining the confidentiality of your account credentials;
- all activities conducted under your account;
- ensuring that information submitted is accurate and up to date; and
- promptly notifying AEREA of any unauthorized use, suspected compromise or security breach relating to your account.
AEREA reserves the right to suspend, restrict or terminate accounts where:
- false or misleading information is provided;
- unauthorized activity is suspected;
- the Services are misused; or
- continued access may adversely affect the operation, security or reputation of the Services.
3. Nature of Services
The Services are intended to facilitate:
- digital property and resident management;
- visitor registration and management;
- digital access-control administration;
- facility booking;
- communication and announcements;
- payment facilitation;
- operational workflows; and
- related community or property management functions.
AEREA acts primarily as a technology platform provider.
Certain operational decisions, approvals, rules, charges, booking conditions, access permissions and administrative settings are determined independently by the respective:
- MCSTs;
- managing agents;
- developers;
- property owners; or
- authorised administrators.
AEREA does not independently control or determine such operational rules unless expressly stated otherwise.
4. Access-Control & Security Systems
The Services may integrate with:
- access-control systems;
- facial-recognition devices;
- intercom systems;
- visitor management systems;
- gates and barriers;
- lifts and elevator integrations;
- smart devices; and
- third-party hardware or infrastructure.
Users acknowledge and agree that:
- AEREA’s systems are intended to assist operational management and access administration purposes only;
- AEREA does not guarantee uninterrupted operation, prevention of unauthorized access, prevention of criminal conduct, or absolute security of any premises or facilities;
- access-control outcomes may be affected by internet connectivity, device conditions, environmental factors, hardware limitations, power interruptions, third-party systems, or operational settings configured by authorized administrators; and
- Emergency override procedures, manual access controls, or alternative operational procedures may supersede digital access systems where necessary.
Users remain responsible for complying with all applicable property security procedures and house rules.
5. Facial Recognition & Biometric Authentication
Where facial-recognition authentication features are enabled:
- users consent to the processing of biometric authentication data for access-control and identity verification purposes;
- biometric authentication systems may be affected by lighting conditions, device limitations, environmental factors, user positioning, appearance changes or hardware performance;
- AEREA does not warrant that biometric authentication will function without interruption or error at all times; and
- Alternative authentication methods or manual verification procedures may be required in certain situations.
Use of biometric authentication features remains subject to AEREA’s Privacy Policy and applicable operational settings configured by authorised administrators.
6. Billing, Payments & Transaction Processing
Certain Services may involve payments, deposits, booking fees or other charges determined by the respective property management, MCST, managing agent or authorised administrator.
Payments made through the Services, including PayNow, credit card and debit card transactions, may be processed through authorised third-party payment gateway providers, including OPN (“Payment Processors”).
Users acknowledge and agree that:
- payment transactions are processed through authorised third-party payment infrastructure;
- AEREA does not directly hold, receive or operate as custodian of residents’ payment funds unless expressly stated otherwise;
- managing agents or authorised entities may operate as sub-merchants or designated beneficiaries for payment collection purposes;
- AEREA generally does not store full credit or debit card information on its own systems;
- payment transactions may be subject to verification, fraud screening and security review procedures; and
- Payment Processors may impose additional terms, conditions or privacy practices applicable to payment transactions.
AEREA reserves the right to suspend, reject or reverse transactions where fraud, abuse, security concerns or operational issues are suspected.
7. Facility Bookings, Deposits & Refunds
Facility booking rules, deposits, cancellation policies, renovation deposits, moving-related deposits and associated operational requirements are determined by the respective property management, MCST or authorised administrator.
AEREA acts primarily as a technology facilitation platform and does not independently determine such operational policies.
Refund processing timelines may vary depending on:
- approval workflows;
- payment processor processing timelines;
- banking institutions; and
- operational procedures imposed by the respective property management.
Where repair, cleaning, damage recovery or administrative charges apply under applicable house rules or operational policies, such amounts may be deducted from deposits in accordance with the applicable property management procedures.
8. Resident Community Chat (“ResiChat”)
The Services may include community communication features, resident chat modules or social interaction features, including but not limited to “ResiChat”.
ResiChat is intended solely for:
- lawful community interaction;
- resident communication;
- estate-related discussions; and
- authorised communications within the relevant residential or property community.
Users agree that they shall not use ResiChat to:
- harass, threaten or abuse others;
- publish defamatory, discriminatory, offensive or unlawful content;
- distribute spam, scams or misleading information;
- impersonate another individual or entity;
- distribute malicious links or harmful materials;
- conduct unauthorized advertising or solicitation; or
- violate any applicable law or community guidelines.
Users remain solely responsible for:
- messages;
- content;
- images;
- links; and
- communications submitted through ResiChat.
AEREA does not actively monitor all communications transmitted through ResiChat and does not endorse or guarantee the accuracy, legality or reliability of user-generated content.
However, AEREA reserves the right, at its sole discretion and without prior notice, to:
- remove content;
- restrict access;
- suspend accounts; or
- investigate misuse,
where reasonably necessary for operational, security, legal or community management purposes.
AEREA shall not be liable for:
- user-generated content;
- disputes between users;
- offensive communications;
- misinformation;
- unauthorized disclosures made by users; or
- reliance placed on communications exchanged through ResiChat.
Users are encouraged not to disclose sensitive personal, financial or confidential information through community chat features.
9. Marketplace Module
The Services may include a resident marketplace feature allowing users to list, promote, buy, sell or exchange items and services within the AEREA platform community (“Marketplace”).
Marketplace is intended solely for lawful community-based transactions between users.
Users acknowledge and agree that:
- AEREA acts solely as a technology platform provider facilitating user-generated listings and communications;
- AEREA is not a buyer, seller, reseller, agent, auctioneer, distributor or payment intermediary in Marketplace transactions;
- AEREA does not take possession, custody or ownership of listed items;
- AEREA does not process, collect or hold payment funds relating to Marketplace transactions unless expressly stated otherwise;
- AEREA does not provide delivery, logistics, inspection, escrow or collection services;
- transactions are conducted solely between users at their own discretion and risk; and
- users are solely responsible for verifying the authenticity, legality, quality, safety and condition of items or services offered.
Users shall not use Marketplace to:
- sell illegal, prohibited or regulated items;
- sell counterfeit or stolen goods;
- conduct fraudulent activities;
- publish misleading or deceptive listings;
- infringe intellectual property rights; or
- violate any applicable laws or regulations.
AEREA reserves the right, at its sole discretion, to:
- remove listings;
- restrict Marketplace access;
- suspend accounts; or
- investigate suspected misuse or unlawful activity.
AEREA does not warrant or guarantee:
- the quality,
- safety,
- legality,
- authenticity,
- accuracy,
- availability,
- delivery,
- condition,
- or fitness
of any Marketplace listing, item or transaction.
To the fullest extent permitted by law, AEREA shall not be liable for:
- failed transactions;
- scams;
- fraudulent listings;
- counterfeit goods;
- payment disputes;
- delivery disputes;
- user misconduct;
- damages arising from Marketplace transactions; or
- losses suffered through reliance on Marketplace listings or communications.
Users are encouraged to exercise caution and conduct transactions responsibly.
10. User-Generated Content
Users may submit, upload, post or transmit content through the Services, including:
- messages;
- comments;
- listings;
- photographs;
- reviews;
- documents; or
- other materials (“User Content”).
Users retain ownership of their User Content but grant AEREA a non-exclusive, worldwide, royalty-free license to host, display, process, reproduce and distribute such User Content solely for purposes connected with the operation, administration and improvement of the Services.
Users represent and warrant that:
- they possess the necessary rights and permissions relating to User Content submitted;
- User Content does not infringe third-party rights;
- User Content does not violate applicable laws; and
- User Content does not contain unlawful, defamatory, misleading or harmful materials.
AEREA reserves the right to remove or restrict User Content at its sole discretion where reasonably necessary for operational, legal, security or community management purposes.
11. Service Availability & Maintenance
While AEREA uses commercially reasonable efforts to maintain the availability and reliability of the Services, uninterrupted access cannot be guaranteed.
The Services may occasionally be unavailable due to:
- scheduled maintenance;
- emergency maintenance;
- upgrades or system enhancements;
- cloud infrastructure disruptions;
- internet or telecommunications failures;
- cyber incidents;
- third-party service interruptions;
- hardware failures; or
- events beyond AEREA’s reasonable control.
AEREA reserves the right to suspend, modify or discontinue any part of the Services without prior notice where reasonably necessary for operational, security or maintenance purposes.
12. Third-Party Services & Integrations
The Services may integrate with or rely upon third-party:
- hardware manufacturers;
- payment gateways;
- cloud providers;
- telecommunications providers;
- software platforms; or
- other service providers.
AEREA does not control and is not responsible for:
- third-party systems;
- third-party service availability;
- third-party data handling practices;
- third-party operational failures; or
- third-party security incidents.
Use of such third-party services may be subject to separate terms and privacy policies imposed by the respective providers.
13. Prohibited Uses
Users shall not use the Services:
- for unlawful, fraudulent or unauthorized purposes;
- to interfere with the security or operation of the Services;
- to upload malicious code, malware or harmful materials;
- to gain unauthorized access to systems or accounts;
- to misuse visitor, resident or access-control information;
- to infringe intellectual property rights;
- to harass, threaten or abuse other users; or
- in any manner that may damage, disable or impair the Services.
AEREA reserves the right to investigate suspected misuse and suspend or terminate access where necessary.
14. Intellectual Property
All intellectual property rights relating to the Services, including software, designs, trademarks, logos, interfaces, content, workflows and related technologies, remain the property of AEREA and/or its licensors.
Nothing in this Agreement transfers ownership of any intellectual property rights to users.
Users may not:
- reproduce;
- reverse engineer;
- modify;
- distribute;
- commercialize; or
- create derivative works from the Services,
except with AEREA’s prior written consent.
15. Privacy & Personal Data Protection
Use of the Services is subject to AEREA’s Privacy Policy & Personal Data Protection Notice.
By using the Services, users acknowledge and consent to the collection, use, disclosure and processing of personal data in accordance with the Privacy Policy and applicable laws.
16. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, AEREA disclaims all warranties, representations and guarantees, whether express, implied or statutory, including:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- uninterrupted availability;
- operational accuracy; and
- security reliability.
AEREA does not warrant that:
- the Services will always be uninterrupted or error-free;
- defects will always be corrected immediately;
- the Services will prevent unauthorized access or security incidents; or
- third-party systems or hardware will function properly at all times.
17. Limitation of Liability
To the fullest extent permitted under applicable law, AEREA and its affiliates, officers, employees, agents, contractors and licensors shall not be liable for:
- indirect;
- incidental;
- consequential;
- punitive; or
- special damages,
including loss of profits, revenue, goodwill, business interruption, loss of data, or security incidents arising from or relating to the use of the Services.
Without prejudice to the foregoing, AEREA shall not be liable for:
- unauthorized access incidents;
- criminal acts;
- property damage;
- security breaches caused by third parties;
- hardware failures;
- internet or telecommunications disruptions;
- power outages;
- operational decisions made by property management; or
- failures arising from third-party infrastructure or integrations.
To the maximum extent permitted by law, AEREA’s aggregate liability arising out of or relating to the Services shall not exceed:
- the total amount paid by the affected user for the relevant Services during the preceding twelve (12) months; or
- SGD $100,
whichever is higher.
18. Indemnity
Users agree to indemnify and hold harmless AEREA and its affiliates, officers, employees, agents and licensors against any claims, liabilities, losses, damages or expenses arising from
- misuse of the Services;
- breach of this Agreement;
- violation of applicable laws;
- infringement of third-party rights; or
- unauthorized activities conducted through the user’s account.
19. Force Majeure
AEREA shall not be liable for delays, interruptions or failures arising from events beyond its reasonable control, including:
- natural disasters;
- acts of government;
- cyberattacks;
- internet failures;
- telecommunications disruptions;
- cloud infrastructure outages;
- labor disputes;
- pandemics;
- power failures; or
- failures of third-party systems or services.
20. Suspension & Termination
AEREA reserves the right to suspend or terminate access to the Services where:
- required for operational, legal or security reasons;
- misuse is suspected;
- users breach this Agreement; or
- continued access may adversely affect the Services or other users.
Termination shall not affect accrued rights or obligations existing prior to termination.
21. Amendments
AEREA reserves the right to amend this Agreement from time to time.
Updated versions may be published through the Services, websites or other communication channels.
Continued use of the Services after such updates constitutes acceptance of the revised Agreement.
22. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Singapore.
Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.
23. Compliance with Local Laws
The Services may be deployed, accessed or used in jurisdictions outside Singapore.
While this Agreement shall be governed by the laws of Singapore, users acknowledge and agree that certain local laws, regulations or operational requirements relating to:
- personal data protection;
- electronic transactions;
- consumer protection;
- telecommunications;
- property management; or
- digital access-control systems
may additionally apply depending on the jurisdiction in which the Services are deployed or used.
AEREA reserves the right to implement operational, administrative or technical measures reasonably necessary to comply with such applicable local requirements.
24. Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
